If something here doesn't work for you, we're happy to talk it through before you start using the Services.<\/p>\n <p>If you're accepting these Terms on behalf of a company, you're confirming you have the authority to do so, and \"you\" refers to that company.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s2\">\n <h2><span class=\"num\">02<\/span> Description of Service<\/h2>\n <p>As-Nas provides B2B poker software infrastructure and related services for operators, including but not limited to:<\/p>\n <ul>\n <li>Sale of poker software with full source code and ownership transfer (\"Buy\")<\/li>\n <li>Rental of a managed, hosted poker platform on a subscription basis (\"Rent\")<\/li>\n <li>Brokerage and infrastructure handoff services for operators exiting or transferring a platform (\"Sell \/ Liquidation\")<\/li>\n <li>White-label poker platform licensing and customization<\/li>\n <li>Poker Robot AI and related automation tooling<\/li>\n <li>Custom development, integration, deployment, and technical support services<\/li>\n <\/ul>\n <p>The exact scope, deliverables, and timeline for your specific engagement will be set out in a proposal, order form, or written agreement \u2014 that document is what governs the details if it ever differs from this general description.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s3\">\n <h2><span class=\"num\">03<\/span> Eligibility<\/h2>\n <p>Our Services are built for business operators rather than individual consumers, and are offered on a B2B basis. By using the Services, you're confirming that you're old enough to enter a binding agreement in your jurisdiction, that you're representing a real business, and that your use of the Services fits within the laws and any gaming regulations that apply to you.<\/p>\n <p>Every so often, As-Nas may need to decline working with a prospective client \u2014 for example, if we're unable to confirm the legitimacy of the business or its operating jurisdiction.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s4\">\n <h2><span class=\"num\">04<\/span> Accounts & Access<\/h2>\n <p>If your use of the Services involves an account, dashboard, or credentials, please keep your login details safe \u2014 you're responsible for activity that happens under your account. Let us know as soon as possible if you notice any unauthorized use or a security concern.<\/p>\n <p>If we ever need to restrict or pause account access to protect the security of our Services, or to stay compliant with this agreement or the law, we'll do our best to let you know why.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s5\">\n <h2><span class=\"num\">05<\/span> License & Intellectual Property<\/h2>\n <p><strong style=\"color:var(--text)\">Purchased software.<\/strong> When you buy a platform with full source code, ownership of the delivered codebase transfers to you as described in your order form, once payment is complete and subject to any third-party or open-source components built into the platform.<\/p>\n <p><strong style=\"color:var(--text)\">Rented \/ hosted platforms.<\/strong> When you rent a platform, we give you a license to access and use it for the length of your subscription. The underlying software and related IP stay with As-Nas.<\/p>\n <p>As-Nas trademarks, documentation, and the tools, frameworks, and know-how we use to deliver the Services remain ours, whether or not they show up in what we deliver to you.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s6\">\n <h2><span class=\"num\">06<\/span> Fees, Payment & Refunds<\/h2>\n <p>We don't publish fixed pricing \u2014 every engagement, whether it's a purchase, a rental subscription, or a brokerage arrangement, is quoted individually based on scope. You'll always see and agree to a written quote, order form, or invoice before work begins.<\/p>\n <ul>\n <li>Invoices are due per the payment terms on your quote or order form.<\/li>\n <li>Rental\/subscription fees are billed on a recurring basis for the length of your plan.<\/li>\n <li>Unless we've agreed otherwise in writing, fees already paid for completed work or elapsed subscription time aren't refundable.<\/li>\n <li>If a deposit is needed to kick off a custom development or brokerage engagement, your order form will spell out when it is or isn't refundable.<\/li>\n <\/ul>\n <\/div>\n\n <div class=\"clause\" id=\"s7\">\n <h2><span class=\"num\">07<\/span> Client Responsibilities & Acceptable Use<\/h2>\n <p>We ask that you use the Services responsibly and in good faith. In particular, please don't use them to break the law, infringe someone else's rights, spread malware or try to compromise a system's security, or misrepresent who you are or what software you're running.<\/p>\n <p>You know your own operation best, so you're responsible for how you configure, deploy, and run any platform you buy or rent from us \u2014 including your own obligations to your players, payment providers, and regulators.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s8\">\n <h2><span class=\"num\">08<\/span> Third-Party Platforms & Compliance<\/h2>\n <p>Some As-Nas tools, including Poker Robot AI, are built to work alongside third-party poker platforms and apps that As-Nas doesn't own or operate. Those platforms set their own rules around automation, so it's worth understanding them before you get started.<\/p>\n <div class=\"note\">\n <p><strong>A quick heads-up:<\/strong> because those third-party rules are outside our control, it's on you to check that your use of a given platform's terms allows the kind of tooling we provide. We'll always be upfront about what our tools do, but we can't guarantee how any specific third-party platform will respond, and we're not able to take responsibility for actions a third-party platform takes on your account.<\/p>\n <\/div>\n <p>If a claim ever arises from how you've used our tools in a way that runs against a third party's terms or the law, we'd ask you to help make that right \u2014 see Section 11 on indemnification.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s9\">\n <h2><span class=\"num\">09<\/span> Confidentiality<\/h2>\n <p>Each of us agrees to look after the other's non-public business, technical, and financial information shared during the engagement \u2014 using it only for the engagement itself, and protecting it with the same care we'd use for our own confidential information, for as long as it stays non-public.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s10\">\n <h2><span class=\"num\">10<\/span> Warranties & Disclaimers<\/h2>\n <p>We put real care into building and supporting the Services, and we'll do our best to deliver a great experience. Either of us can end a rental subscription or ongoing engagement as described in your order form. By using the Services, you're confirming that you're old enough to enter a binding agreement in your jurisdiction, that you're representing a real business, and that your use of the Services fits within the laws and any gaming regulations that apply to you.<\/p>\n <p>Every so often, As-Nas may need to decline working with a prospective client \u2014 for example, if we're unable to confirm the legitimacy of the business or its operating jurisdiction.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s4\">\n <h2><span class=\"num\">04<\/span> Accounts & Access<\/h2>\n <p>If your use of the Services involves an account, dashboard, or credentials, please keep your login details safe \u2014 you're responsible for activity that happens under your account. The underlying software and related IP stay with As-Nas.<\/p>\n <p>As-Nas trademarks, documentation, and the tools, frameworks, and know-how we use to deliver the Services remain ours, whether or not they show up in what we deliver to you.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s6\">\n <h2><span class=\"num\">06<\/span> Fees, Payment & Refunds<\/h2>\n <p>We don't publish fixed pricing \u2014 every engagement, whether it's a purchase, a rental subscription, or a brokerage arrangement, is quoted individually based on scope. You'll always see and agree to a written quote, order form, or invoice before work begins.<\/p>\n <ul>\n <li>Invoices are due per the payment terms on your quote or order form.<\/li>\n <li>Rental\/subscription fees are billed on a recurring basis for the length of your plan.<\/li>\n <li>Unless we've agreed otherwise in writing, fees already paid for completed work or elapsed subscription time aren't refundable.<\/li>\n <li>If a deposit is needed to kick off a custom development or brokerage engagement, your order form will spell out when it is or isn't refundable.<\/li>\n <\/ul>\n <\/div>\n\n <div class=\"clause\" id=\"s7\">\n <h2><span class=\"num\">07<\/span> Client Responsibilities & Acceptable Use<\/h2>\n <p>We ask that you use the Services responsibly and in good faith. In particular, please don't use them to break the law, infringe someone else's rights, spread malware or try to compromise a system's security, or misrepresent who you are or what software you're running.<\/p>\n <p>You know your own operation best, so you're responsible for how you configure, deploy, and run any platform you buy or rent from us \u2014 including your own obligations to your players, payment providers, and regulators.<\/p>\n <\/div>\n\n <div class=\"clause\" id=\"s8\">\n <h2><span class=\"num\">08<\/span> Third-Party Platforms & Compliance<\/h2>\n <p>Some As-Nas tools, including Poker Robot AI, are built to work alongside third-party poker platforms and apps that As-Nas doesn't own or operate. Those platforms set their own rules around automation, so it's worth understanding them before you get started.<\/p>\n <div class=\"note\">\n <p><strong>A quick heads-up:<\/strong> because those third-party rules are outside our control, it's on you to check that your use of a given platform's terms allows the kind of tooling we provide.
